The manufacturer of the Pepsi brand in Uzbekistan, International Beverages Tashkent (IBT), is set to acquire full ownership of the Baraka Market retail chain.
This acquisition is part of a corporate restructuring within companies linked to Holten Group, which already owns stakes in both entities.
The Competition Committee has approved the deal, stating that, following an analysis by its special commission, the transaction qualifies as a corporate structural reorganization and does not directly impact market competition.
Urban Retail LLC, which operates under the Baraka Market brand, was registered in July 2020 in Tashkent and specializes in the wholesale trade of non-alcoholic beverages. The company is led by Nikolay Viktorovich Razumovsky.
Urban Retail has a charter capital of 5 billion UZS. Currently, 99% of its shares belong to Holten Enterprise Holdings Ltd, a company registered in the UAE, while the remaining 1% is held by Holten Group Corp.
These same entities also serve as the founders of International Beverages Tashkent (IBT), with stakes of 99.9% and 0.1%, respectively.
