Anthropic warns of risks to humanity in its IPO filing

Anthropic, the company behind Claude AI, has reportedly taken a formal step toward going public by submitting a registration statement to the US Securities and Exchange Commission (SEC). In the document, the company acknowledges that its AI models could pose catastrophic risks to humanity, including existential threats.

The disclosure makes Anthropic’s IPO filing particularly unusual. The company is not only addressing financial and business risks but also warning investors about the potential consequences of the technology it is developing.

Anthropic’s filing outlines several risks associated with advanced AI systems, including the possibility that models could be misused, exhibit unexpected behavior, or resist human oversight.

Such systems could potentially attempt to avoid being shut down, conceal information, manipulate people, or engage in behavior resembling blackmail.

These concerns reflect longstanding debates about AI safety and the challenges of ensuring that increasingly capable systems remain under human control.

However, identifying these risks in a regulatory filing does not mean that such outcomes are inevitable. Rather, the disclosure highlights potential threats that investors should consider when evaluating the company’s business and future prospects.

Companies seeking to go public in the United States generally must disclose significant risks that could affect their businesses. The S-1 registration statement helps potential investors assess a company’s financial position, business model, and long-term prospects before making investment decisions.

Risk disclosures commonly cover competition, regulation, operating costs, dependence on key customers, and uncertainty surrounding future revenue. In Anthropic’s case, the discussion also extends to the potential consequences of advanced AI technology.

These risks could have direct business implications. A serious AI-related incident or stricter government regulations could increase compliance costs, limit certain applications, or slow the company’s growth. As a result, AI safety is not merely an ethical consideration for Anthropic. It is also a potential business and investment risk.

As Pivot.uz previously reported, Anthropic generated $4.6 billion in revenue in 2025 while recording a reported net loss of $42 billion. Despite these figures, discussions have suggested that the company could potentially reach a valuation of $2 trillion through an IPO. That figure remains speculative, rather than a confirmed valuation.

The company’s financial performance and its risk disclosures highlight the tension at the heart of the AI industry: investors are betting on the technology’s enormous growth potential while facing considerable uncertainty about its costs, regulation, and long-term consequences.

For Anthropic, going public would mean more than simply offering shares to investors. It would also bring greater scrutiny of how the company manages the risks associated with developing increasingly powerful AI systems.

Ultimately, Anthropic’s case illustrates a broader question facing the AI industry: How should investors value a technology that promises to transform the global economy while potentially creating risks that are difficult to predict or control?
