Ben Horowitz: How the tiny startup NICIRA was sold for $1.26 billion

Andreessen Horowitz (a16z) is a powerhouse in the world of technology and venture capital. Founded by Marc Andreessen and Ben Horowitz, the firm has propelled numerous startups to success through strategic decision-making and innovative approaches. Andreessen, the creator of the Netscape browser, played a pivotal role in shaping internet technology, while Horowitz, the founder of Opsware, is recognized as a leading figure in the tech industry. Together, their partnership has established Andreessen Horowitz as one of the most influential venture capital firms globally.

Nicira: A Critical Decision in Launching a New Product

Nicira, a startup focused on next-generation networking technologies, was preparing to bring its groundbreaking product to market. The company’s founder, Martin Casado, a Stanford PhD in computer science, was committed to developing advanced network software. Initially, Casado considered pricing an afterthought, even contemplating a random number. However, Horowitz stepped in, emphasizing that pricing was a fundamental factor that could significantly impact the company’s valuation and long-term success.

The Power of Pricing

Horowitz explained, “The price you set becomes embedded in customers’ minds, and raising it later becomes incredibly difficult.” When introducing a novel product to the market, a company only gets one chance to set the right price, and that decision directly affects profitability. For example, if a company attracts six enterprise clients annually and pays its salesperson a $200,000 salary, pricing the product at $50,000 would generate $300,000 in revenue, leaving a $100,000 profit after deducting salary costs. However, doubling the price to $100,000 would quadruple the profit margin to $400,000.

Casado’s change in perspective

Reflecting on Horowitz’s advice, Casado admitted, “If not for Ben, I would have priced it too low, assuming I could invent something later to boost profits.” This mindset is common among technical founders, who often prioritize product innovation over financial strategy. However, Horowitz shifted this perspective, stressing the importance of strategic pricing from the outset to maximize profitability and market positioning.

a16z’s Strategic Influence

In 2010, Andreessen Horowitz led Nicira’s Series A funding round, providing not just capital but invaluable strategic guidance and industry connections. Horowitz played a crucial role in helping the company secure major clients like AT&T, which accelerated Nicira’s market adoption and growth. Thanks to a16z’s support, Nicira’s cloud-based networking solutions gained rapid traction and credibility within the industry.

A tempting acquisition offer

In the summer of 2011, Cisco offered to acquire Nicira for $600 million—an astonishing 300 times the company’s revenue. Casado was ready to accept the offer immediately, but once again, Horowitz intervened. He advised Casado to consider the broader implications, highlighting the value the market was placing on Nicira’s technology. “Martin, Cisco is offering this price because their customers believe you have the best networking solution,” Horowitz explained. With such validation, he argued that other potential buyers would soon emerge. “Don’t rush to sell to Cisco. Stay in control of the process,” he insisted.

The game-changing outcome

Following Horowitz’s advice and Andreessen’s strategic risk-taking, Nicira ultimately doubled its valuation and was acquired for an impressive $1.26 billion. “I doubled the company’s value!” Horowitz later remarked. This success story underscored how Andreessen Horowitz doesn’t just provide funding; they empower startups with actionable advice, strategic partnerships, and deep industry expertise.

Nicira’s journey to success is a testament to the vision, determination, and strategic foresight of both Andreessen and Horowitz, proving that the right guidance can transform even the smallest startups into billion-dollar giants.
